Agreement to Terms

Welcome to Midnight Express ("Train," "we," "our," or "us"). By accessing or using Train at train.hereco.in, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our service.

These Terms constitute a legally binding agreement between you and Train. Please read them carefully.

Description of Service

Train enables users to listen to music together in real-time in real-time. The service includes:

  • Synchronized Playback: Real-time music streaming synchronized across all connected users
  • SharePlay: Multiplayer features allowing users to interact in a shared listening room
  • Games: Interactive games (such as Tic-Tac-Toe) playable with other users
  • YouTube Integration: Music streaming powered by YouTube's video platform
  • Progressive Web App: Installable application with offline capabilities

Train is provided as-is and may be modified, suspended, or discontinued at any time without notice.

Eligibility and Account Responsibilities

Age Requirements

You must be at least 13 years old (or the minimum age in your jurisdiction) to use Train. If you are under 18, you represent that you have permission from a parent or guardian to use the service.

No Registration Required

Train does not require user registration or accounts. However, you are still responsible for your use of the service and any actions taken from your connection.

Accurate Information

If you voluntarily provide any information to Train (such as feedback or communications), you agree to provide accurate and truthful information.

Acceptable Use

You agree to use Train only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use Train in any manner that could damage, disable, overburden, or impair our servers or networks
  • Attempt to gain unauthorized access to Train's systems, other users' data, or computer systems
  • Use automated scripts, bots, or scrapers to access Train without permission
  • Interfere with or disrupt the service or servers
  • Transmit viruses, malware, or other malicious code
  • Collect or harvest information about other users
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Engage in any form of harassment, abuse, or hate speech toward other users
  • Use Train to distribute spam, advertising, or promotional materials without authorization
  • Reverse engineer, decompile, or disassemble any part of Train
  • Remove, obscure, or alter any copyright, trademark, or proprietary notices

SharePlay and Multiplayer Features

Shared Listening Rooms

Train's core feature is synchronized listening. When you use Train:

  • Your presence, playback state, and actions are visible to other users in the same room
  • Any user in the room can control playback (play, pause, skip, seek)
  • Changes made by any user affect the experience for all users

Multiplayer Games

Train includes multiplayer games such as Tic-Tac-Toe. When participating in games:

  • Game state is synchronized across players
  • You agree to play fairly and not exploit bugs or cheats
  • Unsportsmanlike conduct may result in restrictions

User Conduct

You are responsible for your interactions with other users. Train is not responsible for the conduct of other users or any disputes that arise between users.

Third-Party Content and Services

YouTube

Train uses YouTube's API to stream music videos. Your use of YouTube content is subject to:

We do not host, own, or control YouTube content. All content is provided by YouTube and is subject to their policies, including content availability, geographic restrictions, and removal.

External Links

Train may contain links to external services such as Spotify and YouTube Music playlists. We are not responsible for the content, policies, or practices of external websites or services.

Advertising

Train displays advertisements through Google AdSense. Advertisements are provided by third parties, and we do not endorse or guarantee the accuracy of advertised content. Interactions with advertisements are governed by the advertiser's terms and policies.

Intellectual Property

Train's Intellectual Property

Train and its original content (excluding third-party content like YouTube videos), features, and functionality are owned by Train and are protected by international copyright, trademark, and other intellectual property laws.

The Train name, logo, and distinctive branding elements are trademarks of Train. You may not use them without prior written permission.

Third-Party Content

Music videos and content streamed through Train are owned by their respective copyright holders. Train does not claim ownership of third-party content. All content is provided through YouTube's licensed distribution.

User-Generated Content

While Train does not currently support user uploads or content creation, if you provide feedback, suggestions, or ideas ("Feedback"), you grant us a worldwide, royalty-free, perpetual license to use, modify, and incorporate such Feedback into Train without compensation or attribution.

Prohibited Activities

In addition to the Acceptable Use restrictions, you specifically agree NOT to:

  • Deliberately disrupt the synchronized playback experience for other users
  • Flood or spam the service with excessive requests
  • Exploit vulnerabilities or bugs for personal gain or to harm others
  • Create tools or services that circumvent Train's intended functionality
  • Use Train for commercial purposes without authorization
  • Frame or embed Train in other websites without permission
  • Use Train to infringe on copyrights, trademarks, or other intellectual property rights
  • Engage in any activity that violates YouTube's Terms of Service

Service Availability and Modifications

Availability

We strive to keep Train available 24/7, but we do not guarantee uninterrupted access. Train may be unavailable due to:

  • Scheduled or emergency maintenance
  • Technical difficulties or server issues
  • Third-party service outages (YouTube, hosting providers)
  • Force majeure events beyond our control

Modifications

We reserve the right to modify, suspend, or discontinue any aspect of Train at any time, with or without notice. This includes:

  • Adding or removing features
  • Changing the user interface or functionality
  • Imposing usage limits or restrictions
  • Permanently discontinuing the service

We are not liable for any modification, suspension, or discontinuation of the service.

Account Suspension and Termination

Although Train does not use accounts, we reserve the right to:

  • Block IP addresses or connections that violate these Terms
  • Restrict access to users engaging in prohibited activities
  • Remove or restrict users who abuse, harass, or harm others
  • Terminate access for any reason or no reason, with or without notice

Termination of access does not relieve you of obligations incurred under these Terms.

Disclaimer of Warranties

TRAIN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding availability, reliability, or accuracy
  • Warranties that Train will be error-free, secure, or uninterrupted
  • Warranties regarding the quality, accuracy, or legality of third-party content

You use Train at your own risk. We do not warrant that Train will meet your requirements or expectations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRAIN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF TRAIN.

This includes, but is not limited to, damages for:

  • Loss of profits, revenue, data, or use
  • Business interruption
  • Personal injury or property damage
  • Loss of goodwill or reputation
  • Third-party claims

Our total liability for any claims arising from your use of Train shall not exceed $100 USD or the amount you paid to use Train in the past 12 months (whichever is greater). Since Train is free, this effectively limits liability to $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Train and its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of Train
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable laws or regulations
  • Any Feedback or content you provide

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

Any dispute arising from these Terms or your use of Train shall be resolved through:

  1. Informal Negotiation: Contact us to attempt resolution informally
  2. Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with Indian arbitration law
  3. Jurisdiction: If arbitration is unavailable, disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, India

Class Action Waiver

You agree that disputes must be brought on an individual basis only, and not as part of any class, consolidated, or representative action. There shall be no right or authority for any claims to be arbitrated or litigated on a class action basis.

Privacy Policy

Your use of Train is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using Train, you consent to our data practices as described in the Privacy Policy.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Material changes may be announced through the service or other communication methods.

Your continued use of Train after changes to the Terms constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Train.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Train regarding your use of the service, and supersede any prior agreements or understandings.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
